REPRESENTATION OF FOREIGN INVESTORS
Brazilian law determines that every non-resident individual or corporate entity is required to appoint a resident attorney-in-fact, who will be responsible for acting as the local representative.
In such scenario, we become legal representatives, the investor’s main connection with Brazil, ensuring an ethical and trustworthy relationship.
We assume responsibility for representing the investor vis-à-vis fax, authorities, legal advisors, accountants and financial institutions.
Furthermore, we act as agents for service of process and forward judicial and extrajudicial summons, notices and subpoenas to legal counsel. So that the same can take the necessary actions.
MANAGEMENT OF SUBSIDIARIES AND BRANCHES
By attributing, to one of our partners, the role of director of the subsidiary or the branch in Brazil, such partner will ensure that the corporate and compliance rules be strictly followed under local legislation and corresponding international laws.
FISCAL ADRESS
For the establishment of a business in Brazilian territory it is of the utmost importance, by law, that an address be depicted in the articles of association as the company’s registered offices.
This registered office address must figure in the documentation as a point of reference for correspondence with official bodies.
REPRESENTATION OF A NON-RESIDENT FOREIGN DIRECTOR
The appointment of non-resident foreign directors to manage the activities of local subsidiaries is possible in Brazil.
However, Brazilian law requires that this non-resident foreign director have a local attorney-in-fact who, in turn, is resident in the country so that they can act on their behalf.
In this context, in order to provide greater freedom for foreign groups to appoint executives, resident in their countries of origin, as directors of Brazilian subsidiaries, or even to appoint a director responsible for the Americas who does not need to be a permanent resident in Brazil, we offer our clients the possibility of relying on this local attorney-in-fact service.
